Mr. Ruelle,

IPERNITY S.A. has asked me to renew my subscription as soon as possible, as it will end on May, 9th, 2017. But there are only two options to renew it: either for 12 or 24 months. In my belief it's close to an attempt of defraud, if IPERNITY demands money for a longer period, as the company itself is able to offer the service!

You yourself, as the CEO of IPERNITY, have written publically, that the legally valid transfer to IMA will last 4 - 8 weeks. Afterwards my business partner will be IMA, not IPERNITY S.A.. Therefore I doubt very much, whether IPERNITY S.A has the right, to ask for money for a longer period.

If it is illegitimate, as I assume, you as the CEO of IPERNITY S.A. would be well advised, to correct that mistake immediately.

Sie selbst haben als Vorstandsvorsitzender der IPERNITY S.A. schriftlich und öffentlich bekundet, dass die juristische Übertragung auf IMA 4 - 8 Wochen dauern wird. Danach ist mein Geschäftspartner die IMA, nicht mehr IPENITY S.A.. Deswegen bezweifle ich sehr, dass IPERNITY S.A. das Recht hat, Geld für einen längeren Zeitraum zu verlangen.

Wenn diese Forderung also illegal ist, was ich annehme, sind Sie als Vorstandsvorsitzender der IPERNITY S.A. gut beraten, den Fehler unverzüglich zu korrigieren.

And I'm always generous, if extraordinary occurances are hinderly.
But if someone breaks written agreements and timelines systematically, my patience comes to an end.

I fully agree with you, I have the same values. And all this sounds more and more fishy, I really hope that IMA efforts will not be vain. I participated in crowdfundind too and have two club membership running, one for 11 months (mine) and the other for 17 months (I offered a friend) the last one purchased little before december anouncement. I really feel being defrauded on this and I know I am not the only one and also that refunding promises made by CR wont be fulfilled...

In Germany incorporated companies have to set up accruals (for risks, liabilities, etc. in the future). It isn't allowed to use those accruals to balance depts or running costs. In the United States it's even more strictly. I'm not firm with French law. But I think, there are comparable laws.
To us as members does it mean, that IPERNITY has to pay back excess membership fees when it stops its services. Or it has to transfer the accrurals to a successor. If the company doesn't it is contravention. If it has eaten up the savings, it is a bankrupt.
Conclusio: If Cristophe doesn't pay back, he may be accused for deception by the members.

In Deutschland müssen Aktiengesellschaften für Risiken, Verpflichtungen, etc. in der Zukunft Rückstellungen bilden. Es ist unzulässig, diese Rückstellungen zur Deckung laufender Kosten oder von Schulden zu verwenden. In den USA ist es noch wesentlich strikter. Mit französischem Recht bin ich nicht vetraut, aber ich denke, dort sind die Gesetze ähnlich.
Für uns als Mitglieder bedeutet das, dass IPERNITY alle überbezahlten Mitgliedsbeiträge zurückzahlen muss, wenn es seinen Service beendet. Oder die Rückstellungen müssen an einen evtl. Betriebsnachfolger übertragen werden. Wenn die Firma das nicht tut, ist das ein Gesetzesverstoß. Wenn die Rücklagen aufgezehrt wurden, führt das zu einem Bankrott.
Das heißt: Wenn Christophe das überbezahlte Geld nicht erstattet, kann er wegen Betrugs angeklagt werden.

Should be the same under french laws, but I am not aware. It would be correct if membership fees were transferred to IMA, but if CR is close to bankrupcy it is more realistic to think that we can forget about the money of clubmembership...
Anyhow the most important not to loose all (membership and crowdfunding) is that site can go on till IMA takes over.

Any idea if there have been payments from IMA to Ipernity SA ??

Also, damit ich nicht missverstanden werde: Ich wollte sagen: IMA hat bisher noch keinen einzigen Cent an IPERNITY S.A.überwiesen! Dass für die Rettung ein bestimmter, bereits ausgehandelter Betrag aufgewendet wird, ist völlig ok. Aber nur, wenn es juristisch abgesichert ist. Zu dem Zweck hat das Crowdfunding ja stattgefunden, an dem ich mich mit 100€ beteiligt habe. Und auch für eine kurzfristige Abo-Verlängerung - bspw. 3 Monate - noch Geld an IPERNITY zu überweisen, halte ich für angemessen. Man bekommt ja eine Leistung dafür. Ich verweigere mich allerdings, für Altschulden des Managements aufzukommen, die durch Missmanagement entstanden sind.

Please don't misunderstand me: I just said, that IMA did not tranfer any cent to IPERNITY S.A. yet! Of course it's quite ok to spend a certain amount, which is negotiated already, to save the platform. But only on a legally secure base. That's why the crowdfunding happened, at which I participated with 100 €. I also agree with short time prolongations of memberships - let's say for a 3 months period, because members get a service in exchange. But I refuse to compensate depts of long standing, which are a result of mismanagement.

In the meatime I do believe, that we are riding a dead horse. If there isn't any positive reaction from Mr. Ruelle until tomorrow morning, I'm not longer in the position to support IMA. (He also didn't answer the urgent request of William Sutherland to reactivate the 3-months option.)

Ich glaube inzwischen, dass IMA ein totes Pferd reitet. Wenn bis morgen keine positive Reaktion von Herrn Ruelle kommt, kann ich die IMA leider nicht mehr unterstützen. (Er hat auch intern noch nicht auf eine dringende Aufforderung von William Sutherland reagiert, das alte 3-Monats-Abo zu reaktivieren.)

Schwierige Verhandlungen, ein Trauerspiel. Meinen Respekt für deine Geduld. Du hast recht, niemand schmeißt schlechtem Geld noch gutes hinterher. Meinen bisherigen Obulus bis 2018 habe ich bezahlt. IP bekommt nichts mehr von mir, bestenfalls geb ich der IMA noch etwas drauf, wenn es an ein paar Euro Deckungslücke scheitern sollte.
